EE CIRCLE SOFTWARE LICENSE AGREEMENT

This Software End-User License Agreement ("EULA") is an agreement 
between you (either an individual or a single entity) and EE Circle. 
By installing, copying, or otherwise using the SOFTWARE, you agree 
to be bound by the terms of this EULA. If you do not agree to the 
terms of this EULA, do not install or use the SOFTWARE. 


1. This SOFTWARE is licensed, not sold.


2. GRANT OF LICENSE.

(A) Demo or Trial License.  
You may download and use the SOFTWARE without charge on an 
evaluation basis, with full functionalities, until the date 
specified by the "license.lic" file included in the distribution. 
A demo license may impose certain restrictions on the SOFTWARE 
after the expiration date - typically with reduced functionalities.

(B) Regular license. 
You may purchase a regular license for a particular software tool.
You are strongly recommended to spend time fully exploring the 
SOFTWARE before deciding on the purchase. A regular license 
eliminates the expiration date, and allows free upgrade to a new 
minor release (bug fixed) in the same major version. For instance,
holder of license for TOOL Version 1.0 will get free upgrade to 
TOOL Version 1.2, 1.3, 1.5 and etc.

(C) Academic license. 
Most EE Circle software tools intend to give full access to 
engineering students and faculties. A person, e.g., an engineering
professor, who is conducting teaching or researching work, must 
make a request by supplying an IP address of a groups of computers.
For instance, the computers in the EE department of SOME University 
have IP addresses starting with 123.45.6.xxx, where 'xxx' represents 
three decimal digits. The requester should provide the portion of 
the IP address "123.45.6" to EE Circle for processing. A request 
may be granted if the following conditions are met: (a) The 
requester acknowledges that a specific EE Circle software tool is 
useful for the academic work; (b) when applicable, the requester 
will notify his/her colleagues and/or students about the availability 
of the tool; (c) the requester must agree that his/her name 
(individual or group) to be listed (name and affiliation) on the 
EE Circle website as one of the recipients of this academic 
license; (d) Name, affiliation, IP address can be verified.

(D) Promoter license. A limited number of promoter licenses will 
be available, free of charge, to the developers and key contributors
of EE Circle software. This license requires the physical address 
or machine access code (MAC) of a particular computer. When running 
on Windows PC, most EE Circle software tools will detect the MAC 
number at run time. User can find it through the Help::About menu. 


3. RESTRICTIONS.  You may not reverse engineer, de-compile, or 
disassemble the SOFTWARE. You may not use the SOFTWARE for any 
illegal purpose.


4. SUPPORT SERVICES. EE Circle may provide you with support 
through user's guide, online documentation, and/or other 
EE Circle-provided materials. Any supplemental SOFTWARE code 
provided to you shall be considered part of the SOFTWARE and 
subject to the terms and conditions of this EULA. 


5. TERMINATION. Without prejudice to any other rights, EE Circle 
may terminate this EULA if you fail to comply with the terms and 
conditions of this EULA. In such event, you must destroy all 
copies of the SOFTWARE. 


6. COPYRIGHT. EE Circle reserves all rights pertained to the 
SOFTWARE. You acknowledge that no title to the intellectual 
property in the SOFTWARE is transferred to you. You agree that 
any copies of the SOFTWARE will contain the same proprietary 
notices that appear on and in the SOFTWARE.
 

7. NO WARRANTIES. EE Circle expressly disclaims any warranty for 
the SOFTWARE. THE SOFTWARE AND ANY RELATED DOCUMENTATION IS 
PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR 
IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES 
OR MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR 
NONINFRINGEMENT. YOU ARE USING THE SOFTWARE AT YOUR OWN RISK.


8. LIMITATION OF LIABILITY. IN NO EVENT SHALL EE CIRCLE BE LIABLE 
TO YOU FOR ANY CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR INDIRECT 
DAMAGES OF ANY KIND ARISING OUT OF THE DELIVERY, PERFORMANCE, 
OR USE OF THE SUCH DAMAGES.
